IF YOU WANT COOLER AIR to come IN to your attic it will ENTER through a 2nd GABLE vent or any other vents (If you have them) WHILE THIS FAN SUCKS HOT AIR ..... OUT - BLOWING IT "OUT" THROUGH THE GABLE VENT !!

We have a two story home. I can not hear it at all on the first floor. We I am in my office on the second floor (room closet to the fan) I can hear the fan but it is not loud or annoying.

Yes, you should be able to install this solar powered attic fan on a flat roof as long as you thoroughly seal all around the flashing such that there's no chance of water leaking into the attic. I installed this fan on my pitched roof 1 year ago, facing South and I'm happy with its operation/performance so far.
